Terms and Conditions
§ 1 Scope
(1) These Terms and Conditions apply to all contracts between PLACEHOLDER_COMPANY_NAME GmbH ("Provider") and consumers or business customers ("User") regarding the use of the software-as-a- service platform "WheelTrading.io" ("Platform").
(2) Deviating terms of the User will not be recognised unless the Provider expressly agrees in writing.
(3) WheelTrading.io is directed at persons resident in Germany and Austria. No targeted solicitation of other states takes place. Within the European Union, use of the Platform is not blocked. For regulatory reasons, however, use of the application is permitted only within the European Union (permitted geographic area of use of the application). The Provider reserves the right to technically block access from states outside the European Union (third countries). Users have no entitlement to activation.
(4) Should the User relocate their habitual residence or seat after conclusion of the contract to a state outside the European Union, they are obliged to inform the Provider without undue delay. In such case, the Provider is entitled to extraordinary termination.
§ 2 Subject Matter
(1) The Provider makes available an internet-based platform which supports Users in analysing and managing their own options ("Wheel") strategies. The Platform provides technical tools, key figures and algorithmically generated candidate selections for the User's own review.
(2) The Platform does not provide investment advice, investment brokerage, portfolio management or investment recommendations within the meaning of the German Securities Trading Act (WpHG) or the German Banking Act (KWG). All candidate selections, key figures and analyses shown on the Platform are exclusively algorithmically generated and serve the User's own review. Responsibility for any investment decision rests solely with the User.
(3) The Provider does not execute securities transactions. All trades are initiated and carried out independently by the User with their own broker (typically Interactive Brokers).
§ 3 Conclusion of Contract, Contract Language and Storage of the Contract Text
(1) The contract for the use of the Platform is concluded upon registration of the User, selection of a subscription plan and confirmation of the order subject to payment.
(2) Before completing the order, the User is informed about the contract details, prices, right of withdrawal and these Terms and Conditions. The contract is concluded only after express confirmation ("Order with obligation to pay").
(3) The contract language is German. The Provider may additionally provide the Platform and the contractual information in English; in case of doubt, the German version prevails.
(4) The Provider stores the contract text (these Terms in the version applicable at the time of conclusion of the contract together with the order data) and makes it available to the User via the user account and in the order confirmation by e-mail.
§ 4 Prices, Payment Terms and Trial
(1) The prices displayed on the Platform at the time of contract conclusion apply. Prices are gross prices and include the statutory value added tax owed in each case. For consumers resident in another EU member state (e. g. Austria), the value added tax of that state is shown and remitted (One-Stop-Shop procedure).
(2) Payment is made monthly or yearly in advance by credit card via the payment service provider Stripe Payments Europe, Limited (Ireland).
(3) Trial: New users may be offered a free trial period of 28 days. A valid payment method must be provided for the trial; it will only be charged after the trial period expires unless the contract is terminated or withdrawn beforehand.
(4) The User expressly requests that the contractual services begin already within the 14-day withdrawal period (see § 8 Withdrawal). The User shall pay a proportionate amount for the period until withdrawal.
§ 5 Service Obligations of the Provider
(1) The Provider will endeavour to achieve an availability of the Platform of 99% on annual average, measured by the reachability of the public endpoints. Maintenance windows and outages due to force majeure or third-party providers (in particular broker and market data providers) are excluded.
(2) The Provider does not guarantee the completeness, timeliness or accuracy of the market data, fundamental data or key figures provided on the Platform. These are obtained from third parties and are provided without warranty.
§ 6 Rights of Use
(1) For the duration of the contract, the Provider grants the User a simple, non-transferable and non-sublicensable right to use the Platform for its own purposes within the contractually agreed scope.
(2) The User is not entitled to reproduce, modify, decompile, reverse engineer or make the Platform available to third parties beyond the contractual use, unless this is mandatorily permitted by law. The access credentials are non-transferable and must not be passed on to third parties.
(3) All rights to the Platform, its software, its content and key figures remain with the Provider or its licensors.
§ 7 User Obligations
(1) The User keeps their access credentials secret, protects them against access by third parties and informs the Provider without undue delay if there are indications of misuse of their account.
(2) The User provides truthful and complete information upon registration and keeps it up to date.
(3) The User uses the Platform exclusively within the framework of applicable law and these Terms. Automated querying (scraping), overloading or impairing the Platform, as well as circumventing security or access restrictions, are not permitted.
§ 8 Right of Withdrawal
Consumers have a statutory right of withdrawal. Details, deadline, exercise and model withdrawal form can be found in the separate Right of Withdrawal.
§ 9 Termination
(1) The subscription may be terminated at any time to the end of the current billing period. Termination is made via the User's account management.
(2) Payments already made for the current billing period will not be refunded; the User retains access until the end of the paid period.
(3) The right of extraordinary termination for good cause remains reserved for both contracting parties.
(4) If pending legal proceedings concern the User's account (e. g. collection or civil suit, insolvency, criminally relevant transaction or open refund dispute), termination, plan changes, account deletion and new sign-ups are suspended until the proceedings are concluded. The Provider documents the suspension with a case reference or justification and lifts it without delay once the proceedings end. This rule serves to secure the outcome of the proceedings (Art. 18 (1) (b) GDPR) and does not affect § 314 BGB or § 648 BGB.
§ 10 Limitation of Liability
(1) The Provider is liable without limitation in cases of intent, gross negligence, injury to life, body or health, and within the framework of product liability.
(2) For simple negligence, the Provider is only liable in the event of a breach of an essential contractual obligation (cardinal obligation), limited to the typical, foreseeable damage.
(3) The Provider is not liable for economic losses incurred by the User as a result of the User's own investment decisions. Reference is expressly made to § 2 paragraph 2.
§ 11 Data Protection
The collection, storage and processing of personal data is carried out in accordance with the separate Privacy Policy.
§ 12 Consumer Dispute Resolution
The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 (1) no. 1 VSBG).
§ 13 Amendment of Terms
The Provider reserves the right to amend these Terms and Conditions. Changes will be notified to the User by e-mail to the address stored in the account at least 30 days before they take effect. If the User does not object within 30 days of receipt of the notification, the changes are deemed accepted. The User will be expressly informed of this right to consent in the notification of change.
§ 14 Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies to the extent that the consumer is not deprived of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.
(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is â as far as legally permissible â the registered office of the Provider.
(3) Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
